Buying and selling a business

Buying or selling a business is a major decision. I help you analyze the opportunity rigorously before you commit.

Buying

Does the project hold up?

  • Financial feasibility

Asking price, financing and cash flow: will the business be able to pay for itself?

  • Business plan review

A critical look at your assumptions and forecasts before you present them to lenders.

  • Financial statement analysis

A careful review of the target business's results to identify strengths and points to clarify.

Selling

Prepare the sale well before signing

  • Corporate purification

Removing non-operating assets from the corporation, in particular so you can benefit, where applicable, from the lifetime capital gains exemption.

  • Sale readiness

Up-to-date financial statements, documents ready and solid numbers to present your business at its best.

  • Tax implications

Understand what the sale means for you, tax-wise, before accepting an offer.

Frequently asked questions

Your questions

When should I start preparing to sell my business?

As early as possible, ideally a few years ahead. Some tax criteria, including those for the lifetime capital gains exemption, are assessed over a 24-month period: late preparation can be costly.

What is corporate purification?

Removing assets that aren't used in operations (investments, excess cash, etc.) from the corporation so that its shares qualify as qualified small business corporation shares, eligible for the lifetime capital gains exemption, at the time of sale.

I've found a business to buy. Where do I start?

Before making an offer, have the financial statements and the project's feasibility analyzed. A free 30-minute call will help identify which analyses you need.

Do you work with my other advisors?

Yes. A transaction often involves a lawyer or notary, a financial institution and sometimes a broker: I work with them so everyone moves in the same direction.
